Welcome to Jeffrey Angwin Consultancy. By accessing or using our website and services, you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, please discontinue use immediately.
1. Definitions & Interpretation
“Client” means the individual, business, or entity engaging our services.
“Services” means consultancy and related services as described in proposals, contracts, or statements of work (SOWs).
“Deliverables” means any reports, documents, plans, or other materials produced as part of the Services.
Headings are for convenience and do not affect interpretation.
2. Scope of Services
a) The specific Services, deliverables, fees, and timelines will be detailed in a Statement of Work (SOW) or proposal.
b) Work outside the agreed scope requires written approval and may incur additional charges.
3. Client Responsibilities
a) The Client must provide all necessary information, approvals, and timely feedback to enable us to perform the Services.
b) Delays caused by the Client may extend timelines or result in additional charges.
4. Confidentiality
Both parties agree to keep confidential any non-public, proprietary, or sensitive information exchanged during the Services. Confidentiality obligations survive termination of this Agreement.
5. Data Protection & Privacy
We will process personal data in compliance with applicable laws (GDPR, CCPA, etc.) and our Privacy Policy. Reasonable technical and organizational measures will be applied to protect personal data.
6. Intellectual Property
a) We retain ownership of all intellectual property developed independently of the Services.
b) Upon full payment, the Client receives a non-exclusive, non-transferable license to use the Deliverables for internal business purposes only.
c) Deliverables may not be resold, sublicensed, or distributed externally without our written consent.
7. Warranties & Disclaimers
a) We warrant Services will be provided with reasonable care and skill.
b) We do not guarantee specific outcomes.
c) Except as expressly stated, all warranties (implied or otherwise) are disclaimed.
8. Limitation of Liability
Our aggregate liability is limited to the total fees paid by the Client under the relevant SOW. We are not liable for indirect, incidental, consequential, or punitive damages.
9. Indemnification
The Client agrees to indemnify and hold harmless Jeffrey Angwin Consultancy, its employees, and agents against any claims, damages, or expenses arising from:
a) Misuse of Deliverables,
b) Breach of these Terms, or
c) Third-party claims related to materials the Client provides.
10. Payment Terms
a) Invoices are payable within 14 days unless otherwise agreed.
b) Late payments incur interest at 1.5% per month or the maximum rate permitted by law.
c) Refunds, if applicable, will be determined at our discretion.
11. Cancellation & Termination
a) Either party may terminate with 30 days’ written notice.
b) On termination, the Client must pay for Services rendered and any non-cancelable commitments.
c) For cause: either party may terminate immediately if a material breach is not remedied within 15 days.
12. Dispute Resolution & Governing Law
a) These Terms are governed by the laws of [Insert Jurisdiction].
b) Parties agree to attempt resolution through negotiation before legal action.
c) If unresolved, disputes will be subject to arbitration or courts in [Insert Location].
13. Force Majeure
Neither party is liable for delays or failures caused by events beyond reasonable control, including but not limited to natural disasters, pandemics, war, or government actions.
14. Severability
If any clause is found unenforceable, the remaining clauses remain valid.
15. Entire Agreement & Amendments
These Terms, together with any SOW, represent the full agreement between the parties. Amendments must be in writing and signed by both parties.
16. Notices
Notices must be delivered in writing by email or certified mail to the addresses specified in the SOW or website.
17. Changes to Terms
We may update these Terms periodically. Updates will be posted here with a new effective date. Continued use of our Services constitutes acceptance.
18. Email & SMS Marketing Policy
18.1 Consent Requirement
We only send marketing communications (via email or SMS) to individuals who have provided explicit consent.
Purchased, rented, or third-party lists are never used.
18.2 Data Collection & Use
Contact information is collected with consent and used for newsletters, promotions, updates, and service notifications.
Personal data will not be sold, rented, or shared with unaffiliated third parties for their marketing.
All data use complies with GDPR, CCPA, and our Privacy Policy.
18.3 Transparency & Frequency
All messages will clearly identify us as the sender.
We will avoid misleading headers, subject lines, or message content.
We will limit messaging to a reasonable frequency.
18.4 Unsubscribe / Opt-Out
Every email will contain an unsubscribe link.
SMS messages will include clear opt-out instructions (e.g., “Reply STOP to unsubscribe”).
Requests are honored promptly within legal timeframes.
18.5 SMS & TCPA Compliance (U.S. Recipients)
Promotional SMS requires express written consent.
Messages will always identify our business and provide opt-out instructions.
Standard carrier message/data rates may apply.
18.6 Client & Third-Party Responsibility
If Services are provided on behalf of a client, the client must ensure their contact list is opt-in compliant. We reserve the right to suspend or terminate services for violations.
18.7 Legal Compliance
This policy aligns with:
CAN-SPAM Act (U.S.)
GDPR (EU)
TCPA (U.S. SMS regulations)
Other applicable data protection and marketing laws.
18.8 Breach of Policy
Any violation of this policy may result in immediate suspension or termination of Services and potential legal action.
